End User License Agreement (EULA)

1. Agreement to Terms

This End User License Agreement ("EULA" or "Agreement") is a legal agreement between you ("End User," "you," or "your") and Bajaar LLC ("Company," "we," "us," or "our") for the use of TopLinks.lol and any related services, websites, or applications (collectively, the "Service").

BY ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS EULA. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

2. License Grant

Subject to the terms of this EULA, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes. This license does not include any right to:

  • Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, or sell any information obtained from the Service;
  • Use any data mining, robots, or similar data gathering and extraction tools;
  • Download (other than page caching) any portion of the Service or any information contained therein;
  • Use the Service for any commercial purpose not expressly permitted by this EULA.

3. Restrictions on Use

You agree NOT to:

  • Use the Service for any unlawful purpose or in violation of any local, state, national, or international law or regulation;
  • Interfere with, disrupt, or create an undue burden on the Service or the networks or services connected to the Service;
  • Attempt to gain unauthorized access to any portion of the Service, other accounts, or computer systems connected to the Service;
  • Use the Service to transmit any malware, viruses, worms, Trojan horses, or other harmful or disruptive code;
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity;
  • Collect or store personal data about other users without their consent;
  • Use the Service to send unsolicited communications (spam);
  • Interfere with or circumvent any security feature of the Service.

4. Intellectual Property

The Service and its original content, features, and functionality are owned by Bajaar LLC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. No title to or ownership of the Service is transferred to you.

5. User-Generated Content

Any content you submit to the Service ("User Content") remains your property. However, by submitting User Content, you grant Bajaar LLC a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Service.

You represent and warrant that: (a) you own or have the necessary licenses, rights, consents, and permissions to use and authorize us to use your User Content; and (b) your User Content does not violate the privacy rights, publicity rights, copyright rights, or any other rights of any third party.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

Bajaar LLC expressly disclaims all warranties, express or implied, including but not limited to:

  • That the Service will meet your requirements;
  • That the Service will be uninterrupted, timely, secure, or error-free;
  • That the results obtained from the use of the Service will be accurate or reliable;
  • That the quality of any products, services, information, or other material purchased or obtained through the Service will meet your expectations;
  • That any errors in the Service will be corrected.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM BAJAAR LLC OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BAJAAR LLC, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • (a) Your access to or use of or inability to access or use the Service;
  • (b) Any conduct or content of any third party on the Service;
  • (c) Any content obtained from the Service;
  • (d) Unauthorized access, use, or alteration of your transmissions or content;
  • (e) Any transactions, disputes, or interactions with Site Owners or other End Users;
  • (f) The accuracy, reliability, or completeness of any listings or content on the Service;
  • (g) Any interruption, suspension, or termination of the Service;
  • (h) Any viruses or malicious code transmitted through the Service;
  • (i) Any loss or damage arising from your reliance on information obtained through the Service.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU HAVE PAID TO BAJAAR LLC IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100.00), WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OR ALL OF THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

8. Indemnification

You agree to defend, indemnify, and hold harmless Bajaar LLC, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Service;
  • Your violation of any term of this EULA;
  • Your violation of any third-party right, including any copyright, trademark, property, or privacy right;
  • Any claim that your User Content caused damage to a third party.

9. Waiver of Class Actions and Jury Trial

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU IRREVOCABLY WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST BAJAAR LLC.

YOU WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION OR PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE. YOU ACKNOWLEDGE THAT THIS WAIVER IS KNOWING AND VOLUNTARY.

10. Dispute Resolution and Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to this EULA or the Service shall be resolved by final and binding arbitration in Miami, Florida before one arbitrator. The arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures.

The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Each party shall bear its own costs and attorneys' fees in the arbitration, unless the arbitrator determines that applicable law requires otherwise.

NOTWITHSTANDING THE FOREGOING, EITHER PARTY MAY SEEK INJUNCTIVE OR OTHER EQUITABLE RELIEF IN ANY COURT OF COMPETENT JURISDICTION TO PREVENT THE ACTUAL OR THREATENED INFRINGEMENT, MISAPPROPRIATION, OR VIOLATION OF A PARTY'S COPYRIGHTS, TRADEMARKS, TRADE SECRETS, PATENTS, OR OTHER INTELLECTUAL PROPERTY RIGHTS.

11. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any legal action or proceeding arising out of this EULA shall be brought exclusively in the federal or state courts located in Miami-Dade County, Florida.

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach this EULA. Upon termination, your right to use the Service will immediately cease.

YOU AGREE THAT BAJAAR LLC SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY TERMINATION OF YOUR ACCESS TO THE SERVICE.

13. Severability

If any provision of this EULA is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

14. Entire Agreement

This EULA, together with our Terms of Use and Privacy Policy, constitutes the entire agreement between you and Bajaar LLC concerning the Service and supersedes all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
