1. Acceptance of Terms

By accessing or using TopLinks.lol ("the Service"), operated by Bajaar LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and Bajaar LLC.

We reserve the right to modify these Terms at any time. Continued use of the Service after any such changes constitutes your acceptance of the new Terms. It is your responsibility to review these Terms periodically.

2. Description of Service

TopLinks.lol is a paid leaderboard platform that allows users ("Site Owners") to create customizable leaderboards and accept paid listings from third parties ("End Users"). The Service facilitates payments through third-party payment processors.

3. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you have the legal capacity to enter into these Terms.

4. Account Registration

You are responsible for maintaining the confidentiality of your account credentials. You agree to immediately notify us of any unauthorized use of your account. We are not liable for any loss arising from unauthorized use of your account.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BAJAAR LLC, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • (a) Your access to or use of or inability to access or use the Service;
  • (b) Any conduct or content of any third party on the Service;
  • (c) Any content obtained from the Service;
  • (d) Unauthorized access, use, or alteration of your transmissions or content;
  • (e) Any transactions, disputes, or interactions between Site Owners and End Users;
  • (f) The accuracy, reliability, or completeness of any listings or content on the Service;
  • (g) Any interruption, suspension, or termination of the Service;
  • (h) Any viruses or malicious code transmitted through the Service;
  • (i) Any loss or damage arising from your reliance on information obtained through the Service.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU HAVE PAID TO BAJAAR LLC IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100.00), WHICHEVER IS GREATER.

6. Indemnification

You agree to defend, indemnify, and hold harmless Bajaar LLC, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, any use of the Service's content, services, or products other than as expressly authorized in these Terms.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

We do not warrant that: (a) the Service will be uninterrupted, timely, secure, or error-free; (b) the results obtained from the use of the Service will be accurate or reliable; (c) the quality of any products, services, information, or other material purchased or obtained by you through the Service will meet your expectations; or (d) any errors in the Service will be corrected.

8. Waiver of Class Actions and Jury Trial

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO A JURY TRIAL IN ANY ACTION OR PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.

If any court or arbitrator determines that the class action waiver set forth in this section is void or unenforceable for any reason, or that an arbitration can proceed on a class basis, then the arbitration provisions set forth below shall be deemed null and void in their entirety and the parties shall be deemed to have not agreed to arbitrate disputes.

9. Dispute Resolution and Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by final and binding arbitration in Miami, Florida before one arbitrator. The arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures. Judgment on the Award may be entered in any court having jurisdiction thereof.

YOU ACKNOWLEDGE THAT YOU ARE VOLUNTARILY GIVING UP CERTAIN LEGAL RIGHTS, INCLUDING THE RIGHT TO SUE IN COURT, THE RIGHT TO PARTICIPATE IN A CLASS ACTION, AND THE RIGHT TO A JURY TRIAL.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any legal action or proceeding arising out of these Terms shall be brought exclusively in the federal or state courts located in Miami-Dade County, Florida.

11. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

12. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices or policies published by us on the Service, constitute the entire agreement between you and Bajaar LLC concerning the Service and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
